Mobileye will acquire Mentee Robotics to accelerate the establishment of a leading position in the physical AI field.

Mobileye today announced that it has reached a definitive agreement to acquire Mentee Robotics (Mentee), an AI-powered humanoid robotics company. Mentee is currently in the development phase of its third-generation vertically integrated humanoid robot.


This acquisition brings together Mobileye’s advanced AI technologies and global mass-production expertise with Mentee’s breakthrough humanoid robotics platform and deep pool of AI talent, with the goal of building a global leader in the Physical AI field that spans two transformative domains: autonomous driving and humanoid robotics.


Mobileye’s advanced driving automation business, together with its core integrated Advanced Driver Assistance Systems (ADAS) technologies, is demonstrating strong momentum. As a result, the company now expects its automotive business to generate USD 24.5 billion in revenue over the next eight years, representing an increase of more than 40% compared with projections made in January 2023.


This acquisition further expands Mobileye’s business footprint and represents a decisive step in its move into the Physical AI domain. Physical AI systems are designed to understand context, reason about intent, interact naturally with humans, and operate safely and efficiently in the physical world while remaining economically scalable.


Over the past several years, Mobileye’s driving automation technology stack has evolved from a focus on goal-driven highway pilot functions to comprehensive scene-level and intent-aware reasoning capabilities. This evolution lays a solid foundation for enabling general-purpose robots to collaborate effectively with humans while meeting stringent safety requirements.


This acquisition will also accelerate Mentee’s commercialization roadmap. The company expects to begin initial customer on-site proof-of-concept deployments in 2026, with the goal of enabling fully autonomous robot operations without the need for remote control. Large-scale mass production and full commercial rollout are planned for 2028.


The total consideration for the acquisition is approximately USD 900 million (subject to customary adjustments), consisting of approximately USD 612 million in cash and up to approximately 26.2 million shares of Mobileye Class A common stock (with the exact number of shares to be adjusted based on the vesting status of Mentee options prior to closing). The foregoing amounts are not final and will be adjusted in accordance with the terms of the share purchase agreement.


The transaction remains subject to customary closing conditions and is expected to close in the first quarter of 2026.

The platform features a fully in-house hardware and software design, and an AI architecture built around human demonstration guidance, few-shot learning, and simulation-first training.


Unlike systems that rely on large-scale real-world data collection or continuous remote operation, Mentee’s technological approach focuses on enabling robots to acquire new skills progressively through natural demonstrations and intent cues. This approach ensures safe and predictable interaction with humans and objects, while achieving an optimal balance between cost efficiency and practical usability.

Mentee’s humanoid robots offer robust out-of-the-box capabilities, including a deep integration of advanced scene understanding and natural instruction execution, end-to-end autonomous task handling without the need for remote control, reliable locomotion and navigation, and safe manipulation of rigid objects.


The team is currently accelerating the development of “few-shot generalization” technologies to ensure that robots can quickly learn and perform new skills and tasks from only a small number of human demonstrations. This capability will enable rapid deployment of humanoid robots across a wide range of real-world scenarios, where they can both augment human labor and operate as collaborative partners working alongside people.

These capabilities enhance long-tail scenario generalization, accelerate adaptation to new environments, improve R&D efficiency, and shorten validation cycles—further strengthening the performance of driving automation systems.


Leading Safety Advancements in Humanoid Robotics:

Humanoid robots operating alongside humans and other machines in dynamic, everyday environments require verifiable safety levels that go beyond reactive obstacle avoidance. Unlike fixed automation, humanoid robots must reason in real time about human behavior, shared spaces, movable objects, and fragile environments, producing predictable and verifiable outcomes. Mobileye will bring its proven “safety-first” philosophy from driving automation into humanoid robotics, including rigorous safety models such as Responsibility-Sensitive Safety (RSS), mathematically grounded decision-making under uncertainty, and system-level redundancy architectures validated at scale. Together, these technologies provide the foundation for defining, validating, and enforcing safe behavior—establishing the trust, reliability, and regulatory compliance required for economic viability and, ultimately, large-scale commercial deployment of humanoid robots.

Leveraging safety-certified toolchains and infrastructure, AI training platforms, and deep partnerships with high-capacity precision manufacturers, Mobileye will accelerate the global deployment of humanoid robotics solutions across factories, warehouses, and industrial environments.


By combining breakthrough technologies from both humanoid robotics and driving automation, Mobileye and Mentee will establish a compounded advantage in the Physical AI domain, enabling continuous, mutually reinforcing technological progress.

The acquisition was proposed by a Strategic Transactions Committee composed of independent directors, together with Intel Corporation, Mobileye’s largest shareholder, and has been approved by Mobileye’s Board of Directors. Under Mobileye’s recently amended articles of association, Intel, as Mobileye’s sole Class B shareholder, has also approved the transaction. Professor Amnon Shashua, who serves as Chairman, co-founder, and a major shareholder of Mentee, recused himself from all voting matters related to the transaction.


Following the completion of the acquisition, Mentee will operate as an independent business unit within Mobileye. While maintaining team and business continuity, Mentee will leverage Mobileye’s advanced AI training infrastructure to accelerate the integration of its AI software and hardware capabilities. The transaction is expected to result in a modest increase in Mobileye’s 2026 operating expenses, in the low single-digit percentage range.
